CONFLICT OF INTEREST POLICY

Committed Advisors follows a conflicts of interest identification and management policy enacted in accordance with the laws, regulations and professional standards applicable to registered portfolio management companies. Click here to access Committed Advisors’ conflicts of interest policy.

SHAREHOLDER ENGAGEMENT

Under the Shareholder Rights Directive II (SRD II), shareholder engagement refers to the direct involvement of asset managers with listed companies in which they hold shares. This includes monitoring issuers, engaging with company management, exercising voting rights, cooperating with other shareholders and interacting with relevant stakeholders.

Committed Advisors does not hold direct investments in listed equities. Our investment strategy is implemented exclusively through private equity funds, which do not involve any direct share ownership or voting activities with listed issuers.

For this reason, the shareholder engagement mechanisms defined under SRD II are not applicable to our activities, and Committed Advisors does not maintain a dedicated shareholder engagement policy.

REMUNERATION POLICY

Committed Advisors has established a remuneration policy in accordance with the AIFM Directive. This policy applies to staff members identified as risk takers, whose professional activities may have a material impact on the risk profile of the AIFs we manage. It is reviewed and approved annually by the governing bodies of the management company.

The remuneration framework aims to ensure sound and effective risk management, an appropriate balance between fixed and variable components, and an alignment between the interests of risk takers and those of investors, in line with the firm’s overall strategy.

In accordance with Article 5 of the Sustainable Finance Disclosure Regulation (SFDR), Committed Advisors assesses whether sustainability risks are relevant to its investment strategy. Since sustainability risks are not integrated into the investment strategy of the AIFs we manage, the remuneration policy does not include specific provisions linking remuneration to the integration of sustainability risks.
